In some cases, this can be quite straightforward \u2014 for example, if you have dealt with a sole proprietorship. The owner then remains personally liable for the company&#8217;s debts with their private assets, regardless of whether the business is still active or not. In cases where your debtor has \u2018legal personality\u2019 <span class=\"tooltip-icon\" data-tooltip=\"Legal persons are the private limited company (B.V.), the public limited company (N.V.), the foundation, the formal association, the cooperative, the mutual insurance association, and religious organizations.\">?<\/span>, things are a bit more complicated. If your debtor is a legal entity, it means the company is considered an independent entity, comparable to a natural person <span class=\"tooltip-icon\" data-tooltip=\"A human being of flesh and blood.\">?<\/span>. This means that, in principle, only the company itself is responsible for fulfilling agreements, and you cannot easily hold the (former) director personally liable. But it\u2019s not entirely impossible. In this blog, we discuss directors\u2019 liability in a private limited company (B.V.), as this is the most common business form with legal personality <span class=\"tooltip-icon\" data-tooltip=\"Unless you have made different contractual arrangements. We can set this up for you.\">?<\/span>.<\/p>\n<p><!-- \/wp:paragraph --><\/p>\n<p><!-- wp:paragraph --><\/p>\n<p><h5>Internal or external: an important distinction<\/h5><\/p>\n<p>When determining whether a director can be held liable, it\u2019s important to distinguish between two forms of liability:<\/p>\n<ul>\n  <li style=\"list-style-type: none;\">\n    <ul>\n      <li>Internal directors\u2019 liability: this refers to liability of the director towards the legal entity based on \u2018improper performance of duties\u2019. Such a claim can only be filed by the legal entity itself or by the trustee (in the event of bankruptcy) <span class=\"tooltip-icon\" data-tooltip=\"Liability is largely similar in other business forms with legal personality, but we are happy to update you on the specific provisions.\">?<\/span>;<\/li>\n      <li>External directors\u2019 liability: this refers to liability of the director towards the creditor(s) based on a \u2018tort\u2019.<\/li>\n    <\/ul>\n  <\/li>\n<\/ul>\n<p>Because as a creditor you can only invoke external directors\u2019 liability, the focus of this blog is on that <span class=\"tooltip-icon\" data-tooltip=\"If the company goes bankrupt, it is also possible that the director will be held externally liable for the bankruptcy deficit. In this case, however, it is the trustee who brings the claim, and this claim has different requirements. We are happy to explain this variant to you.\">?<\/span>.<\/p>\n<p><!-- \/wp:paragraph --><\/p>\n<p><!-- wp:paragraph --><\/p>\n<p><h5>Reasonable or reckless?<\/h5><\/p>\n<p>The legislator has linked an important advantage to companies with legal personality: the advantage of limited liability for directors. The idea is that normal business risks must be able to be taken without directors fearing personal liability. However, it would go too far if directors were completely immune. If a director truly goes too far, they can be held personally liable by a creditor on the basis of a \u2018tort\u2019. For this, it must be established that the director can be personally blamed for serious misconduct. In other words: a reasonably acting director would have acted differently under the same circumstances <span class=\"tooltip-icon\" data-tooltip=\"Also interested in internal liability? Feel free to contact us.\">?<\/span>.<\/p>\n<p>Whether a director can be personally blamed depends on the circumstances of the case. In two situations, this is at least the case:<\/p>\n<ul>\n  <li style=\"list-style-type: none;\">\n    <ul>\n      <li>If agreements have been made on behalf of the legal entity where the director (at the time of making the agreement) knew or should have known that the legal entity could not fulfil the agreement <span class=\"tooltip-icon\" data-tooltip=\"This also applies to the shareholder if they act as a director (the shareholder effectively determines the policy). We are happy to review whether this situation applies in your case.\">?<\/span>.<\/li>\n      <li>The director deliberately caused the legal entity to fail to meet its obligations or actively ensured that creditors could no longer recover anything. Think, for example, of a situation where only a friendly creditor or a sister company is paid <span class=\"tooltip-icon\" data-tooltip=\"We can of course assess whether this applies in your case.\">?<\/span>.<\/li>\n    <\/ul>\n  <\/li>\n<\/ul>\n<p><!-- \/wp:paragraph --><\/p>\n<p><!-- wp:paragraph --><\/p>\n<p><h5>Not every risky move is serious misconduct<\/h5><\/p>\n<p>Where directors\u2019 liability cases often falter is the burden of proof. This generally lies with the creditor, who must provide concrete evidence showing that the director can be personally blamed for serious misconduct. If we take the example of \u2018knowing in advance that an agreement cannot be fulfilled\u2019, you can immediately see how difficult this is to prove in practice. You cannot look into someone\u2019s mind, and a director is allowed to take a certain level of risk. An overly optimistic estimate does not yet amount to serious misconduct <span class=\"tooltip-icon\" data-tooltip=\"Even if the legal entity encounters financial problems shortly after entering into the agreement, this does not necessarily mean that those problems were foreseeable when the agreement was made.\">?<\/span>. So, in practice, only the \u201cextreme\u201d cases will actually lead to directors\u2019 liability.
