This can mean your counterparty delivers too late, performs incorrectly, or doesn\u2019t do what was agreed at all. You can of course start by kindly asking them to still comply with the agreement. If there\u2019s no response, fortunately you have some other options available. Sometimes, you can even use multiple options in the same situation.<\/p><p><!-- \/wp:paragraph --><\/p><p><!-- wp:paragraph --><\/p><h5>Compensation: a balm for the wound<\/h5><p>The first option you have in the case of default is to claim compensation for the damage you have suffered because someone has not (properly) fulfilled the agreement <span class=\"tooltip-icon\" data-tooltip=\"This damage may, for example, consist of lost income or the purchase price of another product to replace the original.\">?<\/span>. To claim compensation, it is first required that the failure to perform the agreement can be attributed to your counterparty. This means your counterparty can be blamed <span class=\"tooltip-icon\" data-tooltip=\"You cannot claim compensation indefinitely. Want to know if you are still on time? This can range from simple negligence, such as forgetting to put a \u2018fragile\u2019 sticker on a package causing the contents to arrive in a thousand pieces, to flat-out refusal to perform. Secondly, there must be a \u2018default\u2019 (verzuim) by your counterparty <span class=\"tooltip-icon\" data-tooltip=\"A non-attributable failure to perform is referred to in legal terms as \u2018force majeure\u2019. In the event of force majeure, no compensation can be claimed, but termination may still be an option.\">?<\/span>. Your counterparty is in default if you have sent a written notice of default giving a reasonable period to still fulfill the agreement, but no action is taken <span class=\"tooltip-icon\" data-tooltip=\"Attribution can also result from, for example, generally accepted views in society. We\u2019d be happy to tell you more about this.\">?<\/span>.<\/p><p><!-- \/wp:paragraph --><\/p><p><!-- wp:paragraph --><\/p><h5>Suspension: pressing the pause button<\/h5><p>A less drastic option is the right of suspension. This means that you, as it were, wait with fulfilling your own obligations until your counterparty has complied with theirs as agreed <span class=\"tooltip-icon\" data-tooltip=\"Only if performance is temporarily or permanently impossible is your counterparty immediately liable for damages without default.\">?<\/span>. There are, however, a few conditions. The obligation of your counterparty must already be due and payable. If it was agreed that payment is made only after delivery, then delivery cannot be suspended if payment has not yet been made <span class=\"tooltip-icon\" data-tooltip=\"What constitutes a \u2018reasonable period\u2019 differs from case to case. If the non-performance is very minor, you may also not exercise the right of suspension <span class=\"tooltip-icon\" data-tooltip=\"In some cases, default also occurs without a notice of default. This happens, for instance, when your counterparty has indicated that they will fail to perform. Want to know if a notice of default is necessary in your case? For example, if you agreed to deliver a textbook and provide tutoring, you cannot suspend delivery of the book if only the tutoring has not been paid for <span class=\"tooltip-icon\" data-tooltip=\"In addition to this general right of suspension, the law also provides for several special rights of suspension. Feel free to let us tell you more.\">?<\/span>.<\/p><p><!-- \/wp:paragraph --><\/p><p><!-- wp:paragraph --><\/p><h5>Termination: when it really doesn\u2019t work anymore<\/h5><p>Sometimes, you may prefer to end the agreement altogether. You can then choose to terminate it, either by sending a letter to your counterparty or through the court. Termination is also possible even if the breach cannot be attributed, unless the seriousness of the breach does not justify termination <span class=\"tooltip-icon\" data-tooltip=\"Termination is only possible for reciprocal agreements, in which both parties have rights and obligations towards each other.\">?<\/span>. If performance is temporarily or permanently impossible, the agreement may be terminated immediately. Think of a situation where a necklace was to be made from the ashes of your deceased pet, but the ashes were lost. If performance is still possible, your counterparty must be in default. Default works in the same way as described above <span class=\"tooltip-icon\" data-tooltip=\"We have extensive experience drafting watertight letters.\">?<\/span>. Termination means that both parties are released from their obligations under the agreement. If certain obligations have already been performed, \u2018restitution obligations\u2019 arise. For example, goods or payments must be returned. If this is not possible, such as in the case of services rendered, a \u2018reasonable compensation\u2019 must be paid for those services.<\/p><p><!-- \/wp:paragraph --><\/p><p><!-- wp:paragraph --><\/p><h5>Special powers: you might be even stronger<\/h5><p>In some specific cases, there are additional possibilities. One example is the \u2018right of retention\u2019, under which, for instance, a car dealer may keep a car in their possession as long as payment for the repair has not been made. We\u2019ll be happy to tell you more about special rights in your specific situation.<\/p><p><!-- \/wp:paragraph --><\/p><p><!-- wp:paragraph --><\/p><h5>Mind the fine print<\/h5><p>What is described above applies if the parties have not made other arrangements, such as in the general terms and conditions.
